Terra Firma has entered into an agreement to sell RTR, the Italian solar energy platform, to F2i. RTR owns 134 Italian sites producing photovoltaic electricity, with a total installed capacity of 334 MW. The company was founded in 2009 and is based in Rome.
F2i is purchasing RTR via its Third Fund. F2i plans to consolidate all the photovoltaic assets held by the Fund (389 MW) in EF Solare Italia by the end of 2018, creating one of the largest solar operators in Europe with over 800 MW of installed capacity. EF Solare is already the largest Italian operator in the sector and is 50% owned by the Third Fund.
In recent weeks, F2i has expressed its interest in taking over the remainder 50% from current shareholder Enel.
The completion of the acquisition contract for the Terra Firma plants is subject to approval by part of the Antitrust Authority.
F2i has received financial advice from Barclays, Intesa Sanpaolo and SocGen, tax and legal advice from Legance, accounting support from Deloitte, insurance advice from Willis Tower Watson and technical advice from EOS.
