Kosmos Energy announces add-on offering to its existing senior secured notes

Kosmos Energy Ltd. has announced the pricing of an additional US$225 million of 7.875% senior secured notes due 2021 as a non-fungible add-on to the existing US$300 million senior secured notes.

The notes will have identical terms as the existing notes, other than the date of issue, the initial price, the first interest payment date and the first date from which interest will accrue. The net proceeds from the offering, after deducting discounts, commissions and other expenses, are expected to be approximately US$203 million.

The offering is expected to close on April 10, 2015, subject to customary closing conditions. The add-on senior secured notes and the related guarantees will be offered only to qualified institutional buyers.

The firm intends to use the net proceeds from this offering to repay a portion of the outstanding indebtedness under its commercial debt facility and for general corporate purposes.

Kosmos Energy is an independent oil and gas exploration and production company focused on frontier and emerging areas along the Atlantic Margin. According to its website, they are oil finders, driven to unlock significant new petroleum systems, and to grow and mature discovered hydrocarbon basins through additional exploration success, as well as development and production.
